The IT Contracts Manager drafts, negotiates, and manages contracts for Stanford Health Care - Information Technology Department. This position will report to the Administrative Director of IT Contracting and will be a part of the IT Business Operations team - a hardworking and collegial group of finance, legal, and procurement professionals who support technology procurement for Stanford Health Care and its affiliates. The IT Contracts Manager must have excellent client management skills, be able to function independently, have impeccable judgment, and be able to efficiently prioritize the workload.

Essential Functions

Draft, evaluate, negotiate, and coordinate execution of IT agreements using Stanford Health Care templates and vendor templates

Negotiate directly with vendors

Enforce Stanford Health Care contracting policies with respect to IT agreements

Efficiently prioritize and manage a significant workload

Consistently track work in process

Provides guidance on IT contract matters

Train IT employees on contracting practices and procedures

Develop and implement IT Department procedures for contract management and administration in compliance with Stanford Health Care policies and contribute to or influence Stanford Health Care policies.

Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness

Communicate through email, individual interview, group meetings, and presentations to end users, management, developers, and vendors.

Respond to requests from end users, managers, developers, and team members for specific IT contracts information

Ensures contract close out, extension, or renewal

Qualifications

Minimum Qualifications

Education:

Juris Doctor from an accredited law school (JD)

Experience:

Five (5) years of technology contract legal review and negotiation experience

Knowledge, Skills, and Abilities:

Contract drafting and negotiation

Experience with software licenses, cloud services, SaaS, hosted services, equipment purchase, NDAs, HIPAA BAAs, consulting services, statements of work, and other technology procurement related agreements

Identification of legal risks

Ability to concisely explain contract terms in plain English to non-lawyers in written and verbal communications

Extensive knowledge of IT software and hardware licensing models used by various vendors

Vendor dispute resolution
